End User License Agreement

This End User License Agreement governs your installation and use of the Before Signing macOS desktop software. The Website and Service Terms separately govern the website, checkout, subscriptions, and license recovery service. Last updated: [effective date].

License grant

Subject to an active subscription and this EULA, we grant one person a limited, non-exclusive, non-transferable, revocable license to install and use Before Signing during the subscription term for personal or internal business contract-review workflows.

The license is represented by a Before Signing license key and entitlement token signed with Ed25519. The license key identifies the Paddle subscription used for entitlement and is not a transfer of ownership in the software.

Trial use

Before Signing includes a local 3-day free trial that runs on the desktop app without registration or a credit card. After the trial expires, continued use of paid features requires an active subscription.

Trial checks, subscription entitlement checks, and grace periods may be implemented by the app and licensing service to prevent abuse and keep access aligned with subscription status.

Restrictions

You must not reverse engineer, decompile, disassemble, modify, or create derivative works of the software except to the extent such restriction is not allowed by applicable law.

You must not bypass, tamper with, or disable licensing, entitlement checks, signature verification, trial controls, or security features.

You must not sell, rent, lease, sublicense, redistribute paid builds, share license keys, provide the software as a hosted service, remove notices, or use the software for unlawful purposes.

Your documents, API keys, and providers

You keep ownership of your contracts and other content. Before Signing is local-first: contract files are processed on your Mac, and we do not provide a server endpoint that receives or stores your contracts.

If you add your own model API key, AI requests go directly from your computer to the provider you choose. You are responsible for your provider account, API keys, provider terms, usage costs, and deciding whether a provider is appropriate for confidential documents.

You represent that you have the rights and permissions needed to process the documents you use with the software.

Not legal advice

Before Signing is not a law firm, does not provide legal advice, and does not create a lawyer-client relationship. The software provides drafting, redaction, and review assistance only.

AI outputs, risk labels, comments, suggested revisions, summaries, and redactions may be incomplete, outdated, biased, or wrong. Important documents and signing decisions should be reviewed by a qualified professional.

Open-source components

The software may include third-party open-source or commercial components. Those components are licensed under their own terms, and this EULA does not replace any notices or rights required by those licenses.

Updates and availability

We may provide updates, fixes, or changes to the software, but we do not guarantee that any particular feature, model provider integration, platform version, or release channel will remain available.

Entitlement refresh requires occasional internet access so the app can confirm subscription status with the licensing service and Paddle.

Australian Consumer Law and warranties

Nothing in this EULA excludes, restricts, or modifies any consumer guarantee, statutory warranty, or other right that cannot be excluded under the Australian Consumer Law or other applicable mandatory law.

Subject to those non-excludable rights, the software is provided as is and as available. We do not guarantee legal accuracy, completeness, uninterrupted operation, compatibility with every document, or fitness for a particular contract, negotiation, legal, or business result.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, special, incidental, consequential, exemplary, lost profit, lost data, business interruption, or loss-of-opportunity damages.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the software or this EULA is limited to the amount you paid for the relevant subscription period giving rise to the claim.

Term and termination

This EULA applies while you install or use the software. Your license ends when your subscription expires, is cancelled without remaining paid access, is refunded where access is withdrawn, or if you materially breach this EULA.

After termination, you must stop using the software and remove paid builds if requested, but provisions about restrictions, ownership, disclaimers, liability limits, and governing law continue where legally permitted.

Governing law

This EULA is governed by the laws in force in New South Wales, Australia, and applicable Commonwealth laws of Australia, without regard to conflict-of-law rules.

Where the law permits, the courts of New South Wales, Australia have non-exclusive jurisdiction.
